Mission e Programma sintetico
MISSION

Le aziende, italiane ed internazionali, sono impegnate a sviluppare percorsi di crescita organica o attraverso acquisizioni e alleanze. Tale necessità nasce a seguito della crescente globalizzazione dei settori e dell’impatto trasversale della tecnologia. Superata la piccola dimensione, tutte le imprese devono quindi sviluppare, oltre alla strategia competitiva per singoli settori, una adeguata Corporate Strategy sia in termini di composizione del portafoglio di business (portfolio strategy) che di gestione dello stesso e dei suoi cambiamenti (parenting strategy). Il corso si propone di sviluppare la conoscenza degli elementi costitutivi della Corporate Strategy delle aziende e la capacità di mettere a punto strategie di crescita di successo. Lo sviluppo di competenze relative alla portfolio strategy e alla parenting strategy (gli elementi costitutivi della Corporate Strategy) è utile per inquadrare le competenze specialistiche sviluppate nei vari corsi funzionali o settoriali di Management. Il corso mira anche a trasmettere agli studenti l’importanza degli assetti proprietari. La proprietà delle imprese è un elemento che ha un impatto molto importante sulla Corporate Strategy di un’impresa. Gli obiettivi in termini controllo e di attese economiche, le risorse disponibili, la propensione al rischio dei proprietari del capitale sono tutti elementi che devono essere considerati per la definizione delle strategie possibili.

DETTAGLI

Il corso si avvale di testimonianze relative a due temi specifici (M&A e alleanze strategiche, rapporti con il mercato finanziario) e al percorso di crescita con approccio sinergico-organizzativo o finanziario di un gruppo italiano di grandi dimensioni.

 

  • La discussione dei casi avviene ponendo in anticipo alcune domande sulle quali gli studenti possano prepararsi. I casi, scritti per la maggior parte dai docenti del corso, vengono scelti proponendo una varietà di assetti proprietari, portfolio strategy e parenting strategy.
  • Il lavoro di gruppo è assegnato a team di cinque studenti che devono analizzare la Corporate Strategy di un’azienda rispondendo ad alcune domande consegnate tempestivamente. I lavori vengono presentati durante le sessioni finali del corso.

    STUDENTI FREQUENTANTI

    Gli studenti che decidono di frequentare assiduamente il corso sono valutati come segue:

     

    • Test online di valutazione individuale svolto a circa metà del corso volto alla verifica del grado di apprendimento delle conoscenze. Tale test è articolato unicamente in domande chiuse o multiple choice e avrà una durata massima di 20 minuti. (max 4 punti)
    • Lavori di gruppo: ogni gruppo di studenti, composto da 5 studenti, è valutato sulla base di un lavoro collegiale di analisi e presentazione in aula di casi aziendali assegnati dai docenti. (max 10 punti)
    • Esame finale: 2 domande (max 17 punti). Una domanda fa riferimento a un caso non discusso in aula. L’altra domanda fa riferimento ai contenuti teorici del corso. Esame finale scritto.

    * Lavoro individuale su un caso assegnato dai docenti.

    * Esame finale come per gli studenti frequentanti più domanda su libro integrativo.

    Mission & Content Summary
    MISSION

    Italian and international firms developing either through organic growth or through acquisitions and alliances. This need arises as a result of the increasing globalization of industries and the impact of technology. All companies must thus develop, in addition to the competitive strategy for individual sectors, an adequate Corporate Strategy both in terms of composition of the portfolio (portfolio strategy) and its management and changes (parenting strategy). The course aims to develop the knowledge of the constituent elements of the Corporate Strategy of companies and the ability to develop successful growth strategies. The development of skills related to portfolio strategy and parenting strategy (the constituent elements of Corporate Strategy) is useful for framing the specialized skills developed in the various functional or sectoral management courses. The course also aims to convey to students the importance of ownership structures. Corporate ownership is an element that has a very important impact on the corporate strategy of a company. The objectives in terms of control and economic expectations, the resources available, the risk appetite of the owners of capital are all elements that must be considered for the definition of the possible strategies.

    DETAILS

    Besides class lectures, the course includes guest lectures on specific themes.

    • The discussion of cases revolves around discussion questions that allow students to prepare in advance. The cases are chosen with the aim of proposing a variety of ownership structures, portfolio strategy and parenting strategy. Depending on the contribution given by each student to the discussion of cases, at the end of the course an additional point is assigned in the final evaluation.
    • The group work is assigned to teams of five students who have to analyze the Corporate Strategy of a company by answering some questions. The works are presented during the final sessions of the course.

    ATTENDING STUDENTS

    Students who decide to attend the course assiduously are evaluated as follows:

    • Online Individual Test (max 4 points).
    • Group work: each group of students is evaluated on the basis of a collective work of analysis and presentation in the classroom of business cases (max 10 points).
    • Written final exam: 2 open questions (max 17 points).
    NOT ATTENDING STUDENTS

    The evaluation of students who choose the non-attending method is based on the same contents of the students attending.

    • Unlike attending students, non-attending students are required to submit an individual work consisting of a Word document aimed at analyzing the case of a multi-business enterprise. Individual work must be delivered no later than one week before the date on which the final exam is to be held. It is the responsibility of the non-attending student to ask the subject matter of the individual work (max 6 points).
    • The final exam for non-attending students includes, in addition to what is expected for attending students, one question on an additional book (in total max 25 points)
