Mission e Programma sintetico
MISSION

Il corso si propone di mettere a disposizione degli studenti le conoscenze accademiche e professionali per gestire efficacemente le operazioni di M&A in ambito domestico e internazionale. L’obiettivo delle operazioni esaminate è concentrato sulla generazione durevole di valore per gli investitori, siano essi industriali o finanziari. L'impostazione è di tipo interdisciplinare, per tenere conto dei diversi profili rilevanti (finanziari, strategici, amministrativi, fiscali, legali e di management) e prevede un’alternanza di esemplificazioni, casi, testimonianze, esercitazioni e presentazioni degli studenti; ciò per dare concretezza e applicabilità al processo di apprendimento.

Al termine dell'insegnamento, lo studente sarà in grado di...

Capacità di riconoscere i concetti e le nozioni fondamentali riguardanti le dinamiche di creazione del valore attraverso le operazioni di M&A. Ciò con riferimento non solo alla creazione di valore economico, ma anche ai risultati ottenibili in termini di miglioramento dell’equilibrio finanziario, della posizione competitiva aziendale, dell’organizzazione interna, della reputazione aziendale.

Tali risultati sono fortemente legati a due importanti fattori.

  1. Struttura dell’ambiente nel quale l’operazione prende forma. Ciò include la natura delle opportunità di business, il posizionamento competitivo dei buyer e del target, la reputazione dei player, la matrice normativa e delle norme etiche prevalenti.
  2. Condotta degli attori. Dati i limiti e le opportunità ambientali, le modalità con cui avviene la transazione (cd. conduct) possono influenzare profondamente i risultati attesi. All’interno del corso sono esaminati gli effetti dei diversi comportamenti nelle aree, quali la ricerca dei potenziali target, la negoziazione e il processo di offerta, la normativa, il design del deal, l’integrazione post-fusione, la comunicazione verso l’esterno.

In breve, il corso intende fornire una visione considerevolmente più ricca della finanza straordinaria di quella di norma presentata nei corsi tradizionali o negli articoli della stampa specializzata. Il corso è case-oriented e prevede la partecipazione di professionisti del settore con testimonianze e presentazioni, pertanto ai partecipanti è richiesto un coinvolgimento attivo nella preparazione e discussione dei casi. Il corso fornisce allo studente la preparazione necessaria per partecipare alla valutazione e alla strutturazione di operazioni straordinarie quali ad esempio acquisizioni, scorpori e quotazioni, unitamente alla capacità di riassumere/esprimere in modo sintetico ed efficace i risultati del lavoro svolto autonomamente/in gruppo. Il corso è particolarmente utile agli studenti che hanno intenzione di intraprendere una carriera professionale nell’investment banking e nella consulenza strategica, nel private equity e nella gestione dei fondi di investimento.

DETTAGLI

Insieme a sessioni di didattica tradizionale, prevalentemente incentrate sull'introduzione ai capisaldi delle diverse parti del corso, vi sono altre modalità didattiche illustrate di seguito:

  • Testimonianze: intervento in aula di testimoni diretti delle realtà d'impresa, con i quali si discutono taluni argomenti sviluppati nelle lezioni frontali;
  • Analisi casi studio: utilizzo di casi aziendali per analizzare dal punto di vista applicativo i principali temi sviluppati nel corso. Agli studenti viene richiesta la lettura e l'analisi del caso aziendale prima della discussione e dello sviluppo in aula. 

 

 

Gli studenti sono tenuti a contribuire allo svolgimento delle lezioni in maniera attiva. Si ribadisce dunque il fatto che è vivamente consigliata la lettura del materiale didattico indicato prima della corrispondente lezione. Tale lettura diviene indispensabile nelle sessioni in cui saranno svolti i casi aziendali, al fine di seguirne efficacemente lo svolgimento.

    STUDENTI FREQUENTANTI

    Anche se non è prevista la rilevazione delle presenze, si intende “frequentante” lo studente che con assiduità ha seguito e partecipato attivamente al corso.

    La valutazione finale verrà compiuta in base ai risultati di una prova scritta (risposte motivate fornite a specifici quesiti e risposte fornite ad una serie di quesiti "multiple choice") della quale si dirà più oltre e di un assignement che potrà essere svolto sia in forma individuale che di gruppo, a scelta dei frequentanti, in considerazione della situazione sanitaria alla data di stesura del presente syllabus. Se le condizioni lo consentissero è incoraggiata la scelta del lavoro di gruppo. Tale assignment è obbligatorio per i frequentanti. I suoi contenuti, obiettivi e dettagli di consegna saranno comunicati dai Docenti durante le prime sessioni. La valutazione del lavoro di gruppo/individuale sarà pari al 40% della votazione finale.

    L'assignment sarà oggetto di presentazione in plenaria, e dunque verterà nella preparazione e illustrazione di una presentazione consistente in un max di 20-25 slide in Power Point che riepiloghi i punti salienti del caso studiato ed eventualmente fogli excel di supporto. Nella valutazione si terrà naturalmente conto della scelta effettuata in relazione all'opzione "gruppo" o "individuale". La presentazione dell'assignment avverrà nelle ultime due sessioni del corso.

    Quanto alla prova scritta, le domande d’esame in modalità frequentanti saranno coerenti con i capitoli rilevanti del libro di testo, con i contenuti affrontati in aula e con il relativo materiale disponibile su Black Board, e potranno essere inerenti ai casi oggetto di discussione. 

    Per quanto riguarda il libro di testo, si raccomanda di approfondire i capitoli ritenuti strettamente necessari e inerenti alle lezioni discusse in aula.

    Per permettere agli studenti che avessero perso alcune sessioni di sostenere comunque l’esame in modalità frequentanti, il testo d’esame prevede 5 domande a risposta aperta e 18 a risposta chiusa. I frequentanti devono rispondere a:

    • 4 delle 5 domande aperte.
    • 15 delle 18 domande multiple choice.

    Non sono previste penalità per le risposte multiple choice errate o alle quali non sarà data risposta. Per ulteriore chiarezza gli studenti non possono rispondere a più di 4 domande aperte e a più si 15 multiple choice.

    Il tempo a disposizione per la prova scritta è di 60 minuti.

    • Non è prevista la possibilità di sostenere un orale integrativo.
    • Poiché le frequenze non sono rilevate, il riferimento ai frequentanti è da intendere nel senso che le domande tengono conto dello svolgimento concreto della materia in aula. I non frequentanti che comunque volessero presentarsi in modalità “frequentante” possono perciò incontrare delle difficoltà, anche se non è preclusa tale modalità frequentante agli studenti che non possono seguire puntualmente il corso.
    • Secondo le regole generali della facoltà, lo studente può ritirarsi dalla prova una volta conosciute le domande, ma non rifiutare il voto ottenuto, che sarà registrato automaticamente.
    • Nota Bene: le modalità d'esame saranno stabilite compatibilmente con le disposizioni fornite dall'Università
      in materia Covid-19.
    STUDENTI NON FREQUENTANTI

    L’esame è tenuto in forma scritta attraverso un'unica prova  scritta (risposte motivate fornite a specifici quesiti e risposte fornite ad una serie di quesiti "multiple choice"). Tale prova verte sui contenuti dell’intero libro di testo e del materiale reso disponibile su Bboard (note didattiche e slide). Non saranno oggetto d’esame per i non frequentanti i casi didattici presentati nell’ambito di testimonianze tenute da ospiti (guest speaker).

    • L’esame sarà strutturato con 5 domande a risposta aperta e 18 a risposta chiusa e non sarà possibile selezionarle solo alcune. Non saranno previste penalità per le risposte multiple choice errate. 
    • Il tempo a disposizione per ciascuna prova scritta sarà nell’ordine di 60 minuti. 
    • Non è prevista la possibilità di sostenere un orale integrativo.
    • Secondo le regole generali della Facoltà, lo studente può ritirarsi dalla prova una volta conosciute le domande, ma non rifiutare il voto ottenuto, che sarà registrato automaticamente.

    MISSION

    The course aims at providing students with the key tools to successfully manage an acquisition and at developing your skills in the design and evaluation of these transactions. The course holds that success in M&A is defined first and foremost in the creation of economic value and also in terms of outcomes such as enhanced financial stability, improved competitive position, strengthened organization, enhanced reputation, and observance of the letter and spirit of laws and ethics. The course offers the training needed to participate in the valuation and structuring of acquisitions, divestitures and complex equity financings. In pursuit of this mission, this course focuses on different relevant issues (fiscal, legal, financial and managerial) through the extended use of guest speakers and case studies. The course is useful for students who are considering careers in investment banking, management, strategy consulting.

    ATTENDING AND NOT ATTENDING STUDENTS

    The final written exam for this course will be a test comprising exclusively closed-end questions (multiple-choice) that need to be answered based on a list of four alternative answers. Only one correct answer corresponds to each question.  The final exam has a duration of 60' for a total of 17-21 questions.  

    The final exam that will be identical for attending and non-attending students (the course does not distinguish between the two categories and does not apply any attendance recording rule) will be evaluated with a maximum grade of 31 points, reflecting a potential grade of 30 cum laude. 

    The final exam will be focused on the topics discussed in class and on the related teaching and suggested reading material, based on both theoretical questions and exercises. The test is designed in a manner that verifies your understanding and acquired knowledge of financial analysis, valuation methods, strategic and financial rationale for M&A operations, financing options and decisions, EPS and value impact, rationale and structuring of operations seen during the course.

    ATTENDING STUDENTS

    Attending students will face a general exam that will be mainly connected to case studies, guest speaker presentations and any topics that are dealt with in class.

     

    In addition, an additional maximum 2 points may eventually be attributed by the professor on the basis of active class participation, interesting comments and questions made.

     

    The book that accompanies the course will be used as additional helpful material.

    NOT ATTENDING STUDENTS

    Non-attending students will have NO additional points for class participation.

     

    The general final exam non-attending students will have to face will be primarily based on slides provided on the course's page regarding theoretical aspects of the course, excluding case studies and guest speaker presentations. Book chapters are to be fully considered as material to be prepared for the final exam.
