Per una frequenza efficace del corso, si consiglia di conoscere i concetti di base di contabilità è bilancio e di analisi di bilancio, e di valutazione d'azienda. Si consiglia di seguire i pre-corsi di contabilità e bilancio e di finanza aziendale.


Mission e Programma sintetico
MISSION

Dopo l'adozione degli International Accounting Standards, le tematiche di valutazione sono diventate sempre più importanti nel determinare l'affidabilità e la rilevanza dei bilanci delle imprese e influenzare i giudizi di analisti e investitori esterni. Le operazioni di M&As e gli impairment test rappresentano due tipici eventi comuni nella vita di un'azienda in cui emergono significativi problemi inerenti tematiche di valutazione. Tali eventi richiedono che il management, gli amministratori, i revisori, i consulenti e anche gli investitori dispongano di un’adeguata conoscenza dei criteri di valutazione e delle relative specificità quando applicati ai fini delle rilevazioni contabili. Assumendo una prospettiva contabile, questo corso copre due principali aree di valutazione: come utilizzare le informazioni contabili ai fini della valutazione e come eseguire valutazioni per il bilancio. Di conseguenza, la missione del corso è fornire agli studenti una conoscenza avanzata dei diversi approcci teorici disponibili per eseguire valutazioni di asset e complessi aziendali e gli skills necessari per implementare le analisi di valutazione richieste ai fini del bilancio.

PROGRAMMA SINTETICO

I principali argomenti oggetto del corso sono i seguenti:

  • Differenza tra i concetti di rendimento atteso e rendimento richiesto (costo del capitale).
  • Analisi delle principali tecniche di stima del costo del capitale e delle relative criticità sul piano metodologico e applicativo.
  • Analisi dei diversi approcci valutativi applicabili (in particolare quelli basati su dati contabili, quali il modello del reddito residuo e il modello di crescita anormale degli utili) e delle relative criticità sul piano metodologico e applicativo.
  • Individuazione delle attività immateriali dell'acquisita e stima del relativo Fair Value ai fini dell'allocazione del prezzo di acquisizione conseguente ad un'aggregazione aziendale, secondo quanto previsto dall’IFRS 3.
  • Stima del valore recuperabile ai fini dell'impairment test secondo quanto previsto dallo IAS 36.

  • Applicare le migliori prassi per la misurazione del fair value delle attività immateriali acquisite in una aggregazione aziendale.
  • Stimare il valore d'uso delle attività immateriali e dell'avviamento ai fini dell'impairment test (IAS 36).
  • Sviluppare le capacità critiche necessarie per analizzare e comprendere le valutazioni presentate in documenti predisposti da società e/o da terzi (consulenti, revisori dei conti, ecc.).

    STUDENTI FREQUENTANTI E NON FREQUENTANTI
    • Al fine di misurare l'acquisizione dei risultati di apprendimento sopra menzionati, la valutazione dello studente si basa su due esami parziali scritti (metà e fine del corso) con un peso del 50% ciascuno.
    • In alternativa, gli studenti che non superano o non si iscrivono al primo o secondo esame parziale, possono sostenere direttamente un esame scritto generale subito dopo la fine del corso o in una successiva sessione d'esame.

    Tutti gli esami (esami parziali o completi) si basano su un insieme articolato di scelte multiple ed esercizi brevi e lunghi. Inoltre, alcuni esercizi possono anche presentare domande aperte molto brevi, principalmente di natura qualitativa, il cui scopo è valutare lo sviluppo delle capacità analitiche e del pensiero critico degli studenti.

    To feel confortable in this course, you should be familiar with basic fiancial accounting and financial statement analysis as well company valuation. It is recommended to attend the precourses of financial accounting and corporate finance.

    MISSION

    After the adoption of the International Accounting Standards, valuation issues have become more and more important to determine the reliability and relevance of the firms’ financial statements and to influence the judgements of outside analysts and investors. Business combinations and impairment test implementations represent two very common events in the life of a company that require that managers, directors, auditors, consultants and also investors deal with specific valuation issues. Assuming an accounting perspective, this course covers two main valuation areas: how to use accounting information for valuation purposes and how to perform valuations for financial reporting. Accordingly, the mission of the course is to provide students with an advanced knowledge of the different theoretical approaches available to perform business and asset valuations and the practical skills required to implement the valuation analyses required for financial statement purposes.

    CONTENT SUMMARY

    The most important topics we consider during this course are the following:

    • Differences between the expected return and required return (cost of capital) concepts.
    • Analysis of the main cost of capital estimation techniques and their methodological and implementation issues.
    • Analysis of the different valuation approaches (in particular, those based on accounting data such as the residual income model and abnormal earnings growth model) and their main methodological and implementation issues.
    • Recognition and  Fair Value estimation of the acquiree’s intangible assets for the purchase price allocation purposes after a business combination, in line with IFRS 3.
    • Recoverable amount estimation for impairment test purposes in line with IAS 36.

    After successful completion of this course, students will be able to:

    • Distinguish between expected return and required return (cost of capital) concepts.
    • Recognize the main cost of capital estimation models and their main implementation issues.
    • Identify and select the most suitable valuation approaches and criteria that can be applied to value a specific intangible asset, a business unit or a company.
    • Recognize and measure the fair value of the intangible assets that has to be considered for the purchase price allocation purposes following a business combination and to perform the successive impairment test according to the International Accounting Standard principles (IFRS 3, IFRS 13, IAS 36 and IAS 38).

    • Address major issues relating to the estimation of the residual useful life of the intangible assets.

    At the end of the course student will be able to...

    After successful completion of this course students will be able to:

    • Measure the cost of capital for the valuations required for the financial reporting purposes.
    • Define what intangibles are acquired in a business combination and how estimate their residual useful life.
    • Apply the best practices for measuring the fair value of the intangible assets acquired in a business combination.
    • Estimate the  value-in-use of the intangible assets and goodwill for the impairment test purposes (IAS 36).
    • Develop the critical skills necessary to review and understand the valuation issues presented in documents and disclosures issued by a company or third parties (consultants, auditors, etc.).

    The learning experience of this course includes, in addition to face-to-face lectures, real examples and short case/incident illustrations and discussions to enhance the students’ capability to deal with the identification and analysis of complex, open-ended issues.

    ATTENDING AND NOT ATTENDING STUDENTS
    • With the purpose of measuring the acquisition of the above-mentioned learning outcomes, the student assessment is based on two partial (mid-term and end of term) written exams with a 50% weight each.
    • Alternatively, students failing or not enrolling to the first or second partial exam, can directly take one final written exam soon after the end of the course or in a later exam session.

    All the exams (partial or comprehensive exams) are based on an articulated set of multiple choices and shorter and longer exercises. In addition, some exercises may also have very short open questions, mainly qualitative in nature, whose aim is to assess the development of the analytical skills and critical thinking of the students.
