MISSION
CONTENT SUMMARY
Following an introduction that explores how global financial institutions develop competitive strategies in the corporate and investment banking sector, the course analyzes key business segments, financial products, and the financial decisions made by clients—including corporates, financial institutions (FIG), and governments. The curriculum is structured into five modules:

Corporate and Investment Banking
An overview of the investment banking business model, including regulatory and supervisory frameworks with a focus on both European and U.S. perspectives. The module covers the evolution of capital adequacy standards, including Basel II, III, and IV. -
Debt Capital Markets (DCM) and Corporate Lending
Examination of the structure and execution of domestic and international DCM transactions, including underwriting procedures and syndicated loan arrangements. The module also covers corporate lending practices and pricing methodologies as integral components of debt financing for corporate and investment banking clients. -
Equity Capital Markets (ECM) and Private Equity
Analysis of domestic and international ECM deals, including IPOs, private placements, and accelerated bookbuilding (ABB) processes. The module also includes a comprehensive examination of private equity as a key instrument in equity financing for corporate and investment banking clients. -
Mergers & Acquisitions (M&A) and Advisory Services
In-depth study of M&A processes, including deal structuring, valuation techniques, due diligence, and negotiation strategies. The module explores the role of investment banks in providing strategic advisory services for acquisitions, divestitures, joint ventures, and other corporate transactions. -
Corporate Restructuring
Analysis of financial and operational restructuring strategies used in distressed or transitional corporate scenarios. Topics include debt restructuring, turnaround plans, asset sales, spin-offs, and the advisory role of investment banks in designing and executing restructuring solutions to restore corporate value.

DETAILS
The teaching methodology emphasizes the importance of face-to-face instruction, encouraging active student participation. As the primary objective of the course is to prepare students for interviews and careers in the corporate and investment banking sectors, the approach also incorporates several practical elements. These include guest lectures by industry professionals, hands-on exercises designed to familiarize students with the tools and practices used by finance practitioners, and both individual and group work aimed at developing real-world pitch presentations across various types of deals.

ATTENDING AND NOT ATTENDING STUDENTS
The assessment will be based alternatively: on two partial exams (50% and 50%); on a final exam. In both cases, exams will be based on open qustions containing small cases, exercizes and content analysis.
