Obiettivi formativi del corso

Il corso intende fornire ai partecipanti competenze integrate di Accounting e Valuation, con particolare riferimento alla realtà dei gruppi quotati ed al processo di pianificazione in capo al controller. Un aspetto critico per le public company è rappresentato dalla gestione del value gap, inteso come divergenza fra il fair value d'impresa percepito dai manager ed il valore di mercato attribuito dagli investitori. La gestione del value gap richiede l’integrazione fra aspetti: financial model, business planning, business model e risk management. Dopo aver indagato in termini quantitativi e qualitativi il value gap, si illustra come progettare le performance aziendali e rendere coerenti gli obiettivi di pianificazione con le attese del mercato.

  • Strategie d'impresa e valore; Value gap e value reporting
  • Residual Income Model: l'approccio Accounting alla stima del Fair Value d'impresa
  • Il tasso di sconto degli intangible e del residual earnings
  • Business Planning e informazioni implicite nei prezzi di mercato per imprese value e growth (IRR delle opportunità di crescita, competitive advantage period, rischio della crescita)
  • Covenants e pianificazione
  • Business Model. Come progettare le performance aziendali: dall’IRR d’impresa ai KPI
  • Performance contabili in contesti di inflazione
  • Risk Management: volatilità delle performance contabili ed Earning-at-Risk

Descrizione dettagliata delle modalità d'esame

Per i frequentanti:
La valutazione avviene in base ad assignment di gruppo (ponderazione 2/3) e ad una prova scritta finale (ponderazione 1/3). Non sono previste prove intermedie.

Per i non frequentanti:
L'esame si tiene in forma orale.
