Obiettivi formativi del corso

Il corso analizza i principali aspetti relativi ai finanziamenti aziendali ottenuti mediante il ricorso ai mercati del debito e dell'equity. Dopo una prima disamina delle caratteristiche dei diversi mercati di raccolta, si trattano gli aspetti relativi alla valutazione e al processo di collocamento (placement) delle obbligazioni e dei titoli di capitale proprio. Si analizzano, altresi', le logiche di progettazione degli strumenti finanziari, in funzione dell'impatto sulla struttura finanziaria dell'impresa emittente e dei conflitti d'interesse potenziali indotti dalla separazione tra proprieta' e controllo. Infine, vengono presentati gli aspetti piu' problematici relativi al trattamento previsto dai nuovi principi contabili internazionali (IAS) di alcuni degli strumenti di raccolta esaminati.


Programma sintetico del corso
  • La raccolta di capitale sui mercati finanziari: un'analisi dei processi e degli attori.
  • Finanziamenti a titolo di debito: pricing ed emissione dei titoli obbligazionari.
  • L'attribuzione del rating.
  • Le obbligazioni ad alto rischio (high-yield bonds).
  • La cartolarizzazione.
  • L'analisi delle obbligazioni convertibili.
  • I finanziamenti equity: le diverse tipologie di strumenti finanziari (azioni ordinarie, di risparmio, privilegiate, warrants, ecc.) e le caratteristiche dei mercati di raccolta del capitale proprio.
  • La quotazione in borsa (IPO): analisi del processo di quotazione e dei rendimenti delle azioni di nuova emissione.
  • La valutazione delle imprese ai fini della quotazione: il caso delle start-up e delle imprese ad alta intensita' tecnologica.
  • La rilevazione delle operazioni di raccolta di capitale proprio e di debito secondo i principi contabili internazionali (International Accounting Standards - IAS).

Course Objectives

The course analyses the main aspects of the debt and equity financing decisions adopted by companies. After a broad presentation of the debt and equity capital market features and the main players, the focus shifts onto the valuation of the different bond and equity instruments and on their issuing process. Also the design of financial securities is discussed, taking into account the impact on the corporate financial structure and the conflicts of interests arising from the separation between ownership and control. Lastly, we consider some relevant features regarding accounting for the different debt and equity instruments according to the new International Accounting Standards (IAS).
