Obiettivi formativi del corso

Il corso ha carattere monografico. Il tema prescelto è quello dell'esame degli obiettivi del diritto antitrust e del ruolo della concorrenza nella regolamentazione giuridica dei mercati. Attraverso l'esame della legislazione primaria e secondaria, della giurisprudenza e della prassi decisionale delle autorità, si intende esaminare, anche in prospettiva storica, quali siano gli obiettivi che informano il diritto della concorrenza. In particolare, è oggetto di studio il ruolo che deve giocare l'efficienza nell'analisi delle fattispecie antitrust, nonché lo spazio che possono o debbono avere altri obiettivi di carattere economico e non economico (quali la stabilità, la sicurezza, il pluralismo) nell'ambito delle legislazioni antimonopolistiche. Accanto alla presentazione degli aspetti più significativi della disciplina, vengono esaminate e discusse in classe alcune tra le più rilevanti decisioni e sentenze nei campi del diritto antitrust.

  • La concorrenza come motore dell'efficienza.
  • Le origini e lo sviluppo del diritto antitrust negli Stati Uniti, in Europa, in Italia.
  • Gli obiettivi ed il modo di agire delle autorità antitrust.
  • I cartelli, la deterrenza, e le politiche di clemenza.
  • Le intese verticali, l'approccio della Scuola di Chicago e quello Post-Chicagoan.
  • Monopolizzazione dei mercati e condotte abusive.
  • Il controllo delle operazioni di concentrazione.
  • Disciplina antitrust ed obiettivi settoriali. Il rapporto tra antitrust e regulated industries.
  • La promozione della concorrenza e le normative restrittive della concorrenza.

The exam is written and consists of an analysis of some of the topics covered in-class. No partial exams are scheduled.

Course Objectives

The Course aims at discussing the economic and legal categories that US and EU antitrust enforcers and lawyers use when dealing with agreements and monopolistic conduct that may impair market functioning.


Course Content Summary

In particular, after having examined some basic concepts common to the two jurisdictions, thanks to a rich case law, the Course offers an in-depth economic and legal analysis of the business practices that can be held unlawful under Section 1 and 2 ofthe Sherman Act, and Articles 101 and 102 of the Treaty on the Functioning of the European Union.


Detailed Description of Assessment Methods

Four moot courts are organized during the Course. Students receive a grade for them, running from 0/30 to 31/30. Participation to these moot courts is not compulsory.

The exam is a closed book, two-hour exam, and consist of two open questions. Students receive a grade for it, running from 0/30 to 31/30.  

The final grade results from the arithmetic mean of the grades obtained for the moot court (if available), and the written exam respectively. If a student does not take part to moot courts, her final grade is that of her written exam.


Textbooks

The ppt. presentations used in class are the sole compulsory materials required to pass the final written exam.


Prerequisites
Attendance is highly recommended, but not compulsory.
