Mission e Programma sintetico
MISSION

Secondo il ranking di Dealogic , nel 2017 le prime cinque banche d’investimento a livello globale hanno assistito clienti in operazioni di M&A per un totale di 4.000 miliardi di dollari, intermediato operazioni sui mercati azionari per 288 miliardi di dollari e consentito di collocare il valore record di 1.100 miliardi di dollari in obbligazioni investment grade e di 1.400 miliardi di dollari in prestiti per transazioni ad alto grado di leva (leveraged loans). Queste cifre fanno capire l’importanza dei servizi di investment banking per i mercati finanziari mondiali. La conoscenza dei servizi offerti da queste istituzioni finanziarie e la comprensione del mercato relativo ai differenti prodotti da esse offerti ai diversi tipi di clienti – aziende non finanziarie, istituzioni finanziarie, Stati, enti pubblici e organizzazioni sovranazionali – sono parte essenziale del curriculum di uno studente di finanza. Obiettivo del corso è analizzare le principale aree di attività delle banche d’investimento. Ogni segmento di business viene trattato in termini di: a) Problematiche valutative. b) Pricing delle operazioni. c) Strutturazione dell’operazione; d) Processi e ruoli della banca d’investimento o del consulente finanziario nel corso di un transazione.

PROGRAMMA SINTETICO

Dopo un’introduzione dedicata al modo in cui le istituzioni finanziarie moderne hanno articolato le proprie strategie nell’area dell’investment banking, il corso analizza i segmenti di mercato e i prodotti offerti a clienti privati e pubblici. Il corso è strutturato in 5 moduli:

  1. Servizi per i mercati azionari: offerte pubbliche iniziali (IPO), aumenti di capitale e seasoned offers, titoli ibridi.
  2. Mercati del debito: prestiti sindacati ed emissione di obbligazioni corporate.
  3. Private equity, acquisizione mediante indebitamento (leveraged buy-out) e finanziamento delle acquisizioni.
  4. Consulenza finanziaria alle imprese e fusioni e acquisizioni (M&A).
  5. Ristrutturazioni e crisi aziendali.

DETTAGLI

La didattica del corso si basa principalmente su lezioni frontali.

  • Tuttavia, ciascuno dei cinque moduli elencati alla sezione 1 sono arricchiti da discussioni di casi e presentazioni da parte di ospiti esterni. L’utilizzo di casi e testimonial mira a collegare il corpus di conoscenze tramesso dal corso con esempi tratti dal mondo reale, che tipicamente si concentrano su transazioni finanziarie complesse che vedono protagoniste le banche d’investimento.
  • L’interazione fra docente e studenti durante la discussione dei casi e durante le presentazioni fa comprendere ai discenti come i professionisti del campo approccino una transazione e la organizzino secondo un processo strutturato che va dall’origine dell’operazione fino all’esecuzione finale del deal.
  • Le esercitazioni permettono di applicare concretamente le tecniche per lo sviluppo delle operazioni di investment banking.

    STUDENTI FREQUENTANTI E NON FREQUENTANTI

    Gli studenti hanno la scelta fra due opzioni:

    1. Due esami parziali. In questo caso, il voto finale è la media dei due esami parziali (a condizione che entrambi ricevano un voto di almeno 18/30). Gli esami parziali, a metà e fine semestre, consistono di tre domande ciascuno, sia domande aperte sia esercizi. La durata dell’esame è di solito 60 minuti.
    2. Un esame finale su tutti gli argomenti affrontati dal corso, successivamente al suo completamente. L’esame finale consta di 4 domande, sia domande aperte sia risposte a problemi. La durata dell’esame finale è di solito 90 minuti.

    In entrambi i casi, le domande d’esame richiedono di sviluppare punti specifici discussi in classe e di applicare i concetti appresi a esempi numerici e mini-casi. Obiettivo dell’esame è verificare le capacità e la padronanza che hanno gli studenti nel raccogliere e organizzare informazioni e dati in modo da risolvere alcuni dei problemi che le contropoartidelle banche d’investimento e delle banche universali si trovano ad affrontare.

    MISSION

    In 2017, the 5 Global Financial Institutions ranked in the first five positions of the annual Dealogic League Tables advised about 4tn USD of M&A transactions, arranged 288 bn USD equity capital market deals, helped customers place a record 1.1 tn USD of Investment Grade bonds and an additional 1.4tn USD leveraged loans. Such figures indicate the relevance that Investment Banking services are playing in the context of financial and capital markets worldwide. The knowledge of which services are provided by these institutions and the understanding of the practice of business in the different products available to the different type of customers – corporate entities, financial institutions, governments/public entities and supranational bodies – are an essential part of the curriculum of a finance student. The course mission is the analysis of the main investment banking business areas. Every business is covered in terms of: a) Asset valuation; b) Deal pricing; c) Deal structuring; d) Processes followed during the transactions and roles played by the investment bank/financial advisor.

    CONTENT SUMMARY

    After an introduction focused on how modern financial institutions set up their strategies in the investment banking competitive arena, the course analyzes the business segments and the products offered to customers. The course is structured in five modules:

    1. Equity capital markets services: IPOs, seasoned offers, hybrid securities.
    2. Debt capital markets: syndicated loans and corporate bonds issues.
    3. Private equity, LBOs and acquisition financing.
    4. Corporate financial advisory and M&A.
    5. Corporate restructuring and corporate distress.

    • Recognize how the different intermediaries in the Investment Banking activities are reshaping their strategies to gain a strong competitive advantage vis-à-vis their competitors.
    • Identify, among the different strategies put in place by big financial conglomerates, which are the main products and services offered by investment banks  to corporate and institutional clients.
    • Identify the phases of a deal – origination, implementation and execution – in the different segments of the Investment Banking Business.

    At the end of the course student will be able to...
    • Analyze the needs of a corporate or institutional client and to identify the best financial solution available to tackle them.
    • Structure a capital market transaction and coordinate the different parties involved in the transaction itself.
    • Set up the best approach to pitch a potential customer for an advisory mandate.
    • Demonstrate organizational skills in collecting the relevant information necessary to the deal structuring.

    DETAILS

    The learning experience of this course is mainly based on face-to-face lectures.

    • However, each of the five modules set forth in Section 1 is accompanied by case discussions and presentations by external guest speakers. The use of cases and external speakers aims at better connecting the body of knowledge covered in the course with real life examples, typically focused on complex investment banking transactions.
    • The interaction between the instructor and students during the case discussions and the presentations helps students understand how professionals in the field approach a transaction and organize it in a structured process going from the deal origination to the final deal execution.
    • Exercises are very helpful to apply real-investment banking tools and methodologies.

    ATTENDING AND NOT ATTENDING STUDENTS

    For all students. Students have the possibility to choose two options:

    1. 2 partial exams. In this case, the final mark is determined as the average of the marks on the 2 partial exams (provided that both exams receive a mark of at least 18/30). The partial exams include 3 questions, both open questions and exercises. The timing for the exam is generally 60 minutes.
    2. 1 final exam on all the topics covered in the course after the course completion. The full exam includes 4 questions, both open questions and exercises. The timing of the exam is generally 90 minutes.

    The questions of the written exam require either to argument some specific issues discussed during the course or to apply the concepts to numerical examples and mini cases. The final objective of the exam is to verify the students’ capabilities and mastery to collect and to organize information and numerical data to solve some of the problems faced by corporate and institutional clients working with investment banks and financial conglomerates.
